Product Reviews Terms & Conditions

These Terms of Use govern your conduct associated with the Customer Ratings and Review service offered by Hive Endeavors, LLC (referred to as the "CRR Service" or “Cloudy”). To the extent of any conflict between Cloudy’s Privacy Policy and these Terms of Use, these Terms of Use shall control with respect to the CRR Service.

We encourage you to share your opinions, both favorable and unfavorable.

By submitting any content to Cloudy, you represent and warrant that:

- you are the sole author and owner of the intellectual property rights thereto;

- all "moral rights" that you may have in such content have been voluntarily waived by you;

- all content that you post is accurate;

- all content that you post is not considered spam;

- you are at least 18+ years old or the age of majority or the legal age in your state or province of residence, whichever is greater;

- use of the content you supply does not violate these Terms of Use and will not cause injury to any person or entity;

- you are not receiving any sort of monetary reward or incentive to leave your review, and must include a statement disclosing any sort of relationship according to FTC guidelines;

- you understand that there are zero benefits, incentives, or rewards to leaving a review that is positive;

- you understand that in the case that Cloudy has any sort of active offer, discount, free gift, reward, incentive, or other related promotion running, that accessing/claiming it is not conditional upon you leaving a positive review;

- you understand & feel that you may be open & honest in your review & are welcome to fully and freely leave negative feedback;

- you understand that you have no obligation to leave positive feedback;

- you understand that in the case that Cloudy has any sort of active offer, discount, free gift, reward, incentive, or other related promotion running, that you shall not be excluded from it in the case that you leave a negative review;

- you do not have any financial, employment, personal, or family relationship with Cloudy, and must include a statement disclosing any sort of relationship according to FTC guidelines;

- you agree to comply with all FTC & FDA guidelines, including but not limited to the FTC’s Disclosure Requirements for Social Medial Influencers, the FDA’s Guidance Documents and other applicable laws and regulations;

- you agree to comply with the following FTC Guidelines: Disclosures 101 for Social Media Influencers (PDF Version),  Endorsements, Influencers, and Reviews;

- you agree to clearly & conspicuously disclose any "material connection" (as defined by the FTC) with Cloudy;

You further agree and warrant that you shall not submit any content:

- that is known by you to be false, inaccurate or misleading;

- that infringes any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;

- that violates any law, statute, ordinance or regulation (including, but not limited to, those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising);

- that is, or may reasonably be considered to be, defamatory, libelous, hateful, racially or religiously biased or offensive, unlawfully threatening or unlawfully harassing to any individual, partnership or corporation;

- for which you were compensated or granted any consideration by any third party;

- that includes any information that references other websites, addresses, email addresses, contact information or phone numbers;

- that contains any computer viruses, worms or other potentially damaging computer programs or files.

You agree to indemnify and hold Cloudy (and its officers, directors, agents, subsidiaries, joint ventures, employees and third-party service providers), harmless from all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown including reasonable attorneys' fees, arising out of a breach of your representations and warranties set forth above, or your violation of any law or the rights of a third party.

For any content that you submit, you grant Cloudy a perpetual, irrevocable, royalty-free, transferable right and license to use, copy, modify, delete in its entirety, adapt, publish, translate, create derivative works from and/or sell and/or distribute such content and/or incorporate such content into any form, medium or technology throughout the world without compensation to you. You acknowledge that Cloudy may choose to provide attribution of your comment or review at Cloudy's discretion.

All content that you submit may be used at the sole discretion of Cloudy. Cloudy reserves the right to not publish, change, condense or delete any content on the Cloudy website that Cloudy deems, in its sole discretion, to violate the content guidelines or any other provision of these Terms of Use. Reviews/content that is submitted may be moderated by Cloudy and/or a third-party provider to detect inappropriate content that violate our guidelines. Cloudy does not guarantee that you will have any recourse through Cloudy to edit or delete any content you have submitted. Ratings and written comments are generally posted within two to seven business days. However, Cloudy reserves the right to remove or to refuse to post any submission for any reason, including submissions that may violate the content guidelines or any other provision of these Terms of Use, product has sold out or if the comment is in other ways outdated. Cloudy does not guarantee how quickly reviews are posted, and this time can and will vary. You acknowledge that you, not Cloudy, are responsible for the contents of your submission. None of the content that you submit shall be subject to any obligation of confidence on the part of Cloudy, its agents, subsidiaries, affiliates, partners or third party service providers and their respective directors, officers and employees.

By submitting your email address in connection with your rating and review, you agree that Cloudy and its third party service providers may use your email address to contact you about the status of your review and other administrative purposes.

Cloudy assumes no liability for any reviews posted, stored or uploaded by you or any third party. We will not be held liable for any loss incurred by you as a result of a review published on our website.

Cloudy reserves the right to amend these Terms of Use from time to time without prior notice. Any changes we make will be effective immediately when we post a revised version of the Terms of Use on the Site. It is your responsibility to review the Product Reviews Terms & Conditions on a regular basis to keep yourself informed of any changes. We reserve the right to update, change or replace any part of the Product Reviews Terms & Conditions by posting updates and/or changes to our website. We reserve the right (but not obligation) to send you a notice with the updated Terms of Use by posting it on our site at trycloudy.com, on this webpage, via email, and/or by some other means. It is your responsibility to check the page periodically for changes. Please make sure to save/print & retain a copy of the Terms, as we will not store or be able to provide you with old versions.

Share your experience and help other customers decide what Cloudy products are right for them. Things to keep in mind when writing a product review:

1. Write about the product and your honest experience using it.

2. Include helpful details.

3. Do not use inappropriate language or share personal information.

4. Contact Us directly with specific product questions or issues, order inquiries, and feedback. Please do not use your review to report customer service issues or safety concerns. You can contact us directly here.

Please allow up to 2-7 business days for your review to be approved, however this time estimate may vary.

We reserve the right not to post your review if it contains any of the following or violates our Product Reviews Terms & Conditions:

1. Obscenities, rude or discriminatory language

2. Advertisements or references to other retailers or websites

3. Email addresses, URLs, phone numbers or other forms of contact information 4. Product selection or pricing

In order to comply with the law, to protect our systems and customers, or to ensure the integrity and operation of our business and systems, we may access and disclose any information we consider to be necessary or appropriate, including, without limitation, user profile information, IP address and posted reviews.
